These Terms & Conditions constitute a legally binding agreement between you and Intelxo, Inc. By creating an account, accessing, or using any part of the Intelxo platform, you agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

Intelxo is a market intelligence and research platform, not a licensed investment adviser, broker-dealer, or financial institution. Nothing on this platform constitutes personalized financial advice.

1. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

“Intelxo”, “we”, “us”, or “our” refers to Intelxo, Inc., the company operating this platform.

“User”, “you”, or “your” refers to any individual or entity that accesses, registers for, or uses the Services, whether on a free or paid basis.

“Services” refers to the Intelxo web application, mobile application, browser extensions, API access, email alerts, data exports, and all related features and tools made available by Intelxo.

“Platform” refers to the technical infrastructure, software, AI models, data pipelines, interfaces, and content that together constitute the Intelxo product.

“Content” refers to all text, data, signals, insights, reports, charts, analysis, scores, alerts, and other output generated or made available through the Services.

“AI-Generated Insights” refers to market intelligence, investment ideas, sentiment scores, pattern alerts, and research summaries produced by Intelxo’s artificial intelligence and machine learning models.

“Subscription Plan” refers to any paid tier of access to the Services, including but not limited to the Premium plan.

“Premium Plan” refers to Intelxo’s paid subscription offering that includes expanded feature access, higher usage limits, advanced AI capabilities, and the 30-Day Money-Back Guarantee described in Section 7.

“Free Plan” refers to the limited, no-cost tier of access available to registered users without a paid subscription.

“Account” refers to the registered user profile created to access the Services.

2. ELIGIBILITY & ACCOUNT REGISTRATION

2.1 Eligibility

You must be at least 18 years of age to create an account and use the Services. By registering, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.

The Services are not available to users who have previously been suspended or terminated by Intelxo for any reason, or to users located in jurisdictions where accessing the Services would be prohibited by applicable law.

2.2 Account Creation

To access most features of the platform, you must register for an account by providing accurate, complete, and current information including your name and email address. You agree to update your account information promptly if it changes.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. You agree not to share your account with any third party. You must notify us immediately at [email protected] if you suspect unauthorized access to your account. Intelxo will not be liable for any loss or damage arising from unauthorized use of your account resulting from your failure to safeguard your credentials.

2.4 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent usage limits, access free trials more than once, or exploit the Money-Back Guarantee is strictly prohibited and will result in immediate termination of all associated accounts.

3. THE SERVICES

3.1 Platform Description

Intelxo provides an AI-powered stock market intelligence platform that processes publicly available financial data — including SEC filings, earnings transcripts, price and volume data, news sentiment, and social media signals — to generate investment research, pattern recognition alerts, and market insights for informational purposes.

3.2 Free Plan

Registered users on the Free Plan have access to a limited set of platform features, subject to daily and monthly usage caps as specified on our Pricing page. Free Plan access may be modified, restricted, or discontinued at any time at Intelxo’s sole discretion, with or without notice.

3.3 Service Availability

We strive to maintain platform availability of 99.5% or greater on a monthly basis, excluding scheduled maintenance windows. We will endeavor to schedule maintenance during off-peak hours and provide advance notice where reasonably possible. Intelxo does not guarantee uninterrupted or error-free access to the Services and shall not be liable for any downtime, data delays, or service interruptions.

3.4 Changes to the Services

Intelxo reserves the right to modify, discontinue, or restrict any feature or aspect of the Services at any time. For changes that materially reduce the core functionality available to paid subscribers, we will provide at least 30 days’ advance notice and, where applicable, offer a pro-rated refund or an opportunity to cancel without penalty.

3.5 Third-Party Integrations

The platform may offer integrations with third-party services, including brokerage APIs, portfolio trackers, and data providers. Intelxo is not responsible for the performance, availability, or data accuracy of third-party services. Your use of those integrations is subject to the terms and privacy policies of the respective third parties.

4. ACCEPTABLE USE POLICY

4.1 Permitted Use

You may use the Services solely for your own personal investment research and informational purposes, or for your organization’s internal research purposes if you are accessing the Services under a business or enterprise plan.

4.2 Prohibited Conduct

You agree not to:

Use the Services to provide investment advice, brokerage services, or financial planning services to third parties without appropriate regulatory authorization
Reproduce, redistribute, resell, sublicense, or publicly display AI-Generated Insights or platform Content without Intelxo’s prior written consent
Scrape, crawl, or systematically extract data from the platform through automated means beyond what is expressly permitted by your plan’s API access terms
Reverse engineer, decompile, or attempt to derive the source code, model weights, or underlying logic of Intelxo’s AI systems
Use the platform to manipulate, disseminate misinformation about, or engage in any activity related to market manipulation with respect to any security
Attempt to gain unauthorized access to any part of the platform, other users’ accounts, or Intelxo’s infrastructure
Upload or transmit any malicious code, viruses, or disruptive content to the platform
Use the Services in any way that violates applicable laws or regulations, including securities laws, anti-money laundering regulations, or sanctions programs
Create derivative services or competing products that incorporate Intelxo’s proprietary AI outputs or data models
Share, sell, or transfer your account credentials or subscription access to any other person or entity

4.3 Enforcement

Intelxo reserves the right to suspend or terminate your account immediately and without refund upon detection of any prohibited conduct. We may also pursue legal remedies to the fullest extent permitted by applicable law.

5. INTELLECTUAL PROPERTY

5.1 Intelxo’s Ownership

All intellectual property rights in and to the Services, Platform, and Content — including but not limited to AI models, software, algorithms, databases, trademarks, trade dress, and the selection and arrangement of publicly sourced data — are and shall remain the exclusive property of Intelxo, Inc. or its licensors. These Terms do not grant you any ownership rights in any Intelxo intellectual property.

5.2 License to Users

Subject to your compliance with these Terms and the timely payment of any applicable subscription fees, Intelxo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content for your own personal or internal business research purposes.

5.3 User Content

If you submit content to the platform — such as watchlists, notes, custom alerts, or query inputs — you retain ownership of that content. You grant Intelxo a limited, royalty-free license to process and store that content solely for the purpose of operating and improving the Services. We will not use personally identifiable query content to train AI models without your explicit opt-in consent, as described in our Privacy Policy.

5.4 Feedback

Any feedback, suggestions, or ideas you voluntarily provide to Intelxo regarding the Services may be used by Intelxo without restriction or compensation to you. Providing feedback does not grant you any intellectual property rights in future products or features.

5.5 Third-Party Data

Market data, news content, regulatory filings, and other third-party data accessible through the platform are subject to the intellectual property rights of their respective owners and licensed data providers. Your use of such data is limited to the scope permitted by Intelxo’s data licenses.

6. SUBSCRIPTION PLANS & BILLING

6.1 Subscription Tiers

Intelxo offers multiple subscription tiers, including a Free Plan and one or more paid plans. Current pricing, feature inclusions, and usage limits for each tier are published on our Pricing page and may be updated from time to time. The Premium Plan is described in detail in Section 7.

6.2 Billing Cycle

Paid subscriptions are billed on a recurring basis — either monthly or annually — depending on the billing cycle you select at checkout. Your subscription renews automatically at the end of each billing period unless you cancel prior to the renewal date.

6.3 Payment

All fees are payable in advance and are non-refundable except as expressly provided in Section 7 (Money-Back Guarantee) or as required by applicable law. You authorize Intelxo to charge your designated payment method for all fees associated with your chosen plan. If a payment fails, we will attempt to retry the charge. If payment is not received within 7 days of the due date, your account may be downgraded to the Free Plan or suspended.

6.4 Price Changes

Intelxo may change subscription prices at any time. Price changes will take effect at the start of your next billing cycle following at least 30 days’ advance notice via email and in-platform notification. Your continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before it takes effect.

6.5 Taxes

All fees are exclusive of applicable taxes, levies, duties, or similar governmental assessments, including value-added tax (VAT), goods and services tax (GST), or sales tax. You are responsible for paying all such taxes associated with your subscription.

6.6 Upgrades & Downgrades

You may upgrade your subscription at any time, with the upgraded plan taking effect immediately and your billing prorated accordingly. Downgrading your plan takes effect at the end of your current billing period. Downgrading may result in loss of access to features, data, or usage limits associated with your current plan.

7. PREMIUM PLAN & 30-DAY MONEY-BACK GUARANTEE

7.1 Premium Plan Features

The Intelxo Premium Plan is our flagship paid subscription, designed for active investors, analysts, and financial professionals who require deeper and faster market intelligence. The Premium Plan includes:

Full AI Research Assistant Access — Unlimited natural language queries to Intelxo’s AI research engine, with no daily query caps
Advanced Signal Feed — Real-time access to AI-generated buy/sell signals, momentum alerts, earnings anomaly detection, and insider activity flags across all covered markets
Deep Sentiment Analysis — Multi-source sentiment scoring across news, SEC filings, earnings call transcripts, analyst reports, and social media, updated continuously
Portfolio Intelligence Layer — Upload or connect your portfolio to receive AI-generated risk exposure analysis, concentration alerts, and correlation insights
Screener & Filter Engine — Full access to the custom stock screener with 150+ fundamental, technical, and AI-derived filters

Feature availability is subject to change. Intelxo will not materially reduce Premium Plan core features without providing at least 30 days’ notice and, where applicable, a proportional remedy.

7.2 The 30-Day Money-Back Guarantee

Intelxo stands behind the quality of the Premium Plan. If you are not fully satisfied with your Premium subscription, you may request a full refund within 30 calendar days of your initial purchase date, subject to the conditions set out below.

Eligibility Conditions:

The guarantee applies to first-time Premium Plan subscribers only. It does not apply to renewals, plan upgrades, or re-subscriptions following a prior cancellation.
The refund request must be submitted within 30 calendar days of the original purchase date, not the renewal date.
The guarantee is limited to one refund per user and per household. Creating multiple accounts to claim multiple refunds constitutes fraud and will result in account termination and potential legal action.
The guarantee applies to monthly and annual Premium subscriptions purchased directly through Intelxo. Subscriptions purchased through third-party app stores (Apple App Store, Google Play) are subject to the refund policies of those platforms, not this guarantee.
Add-on purchases, API overage fees, and one-time data export fees are not covered by the Money-Back Guarantee.

How to Request a Refund:

Submit your refund request to [email protected] with the subject line “Money-Back Guarantee Request” within the 30-day eligibility window. Include your registered email address and the reason for your request (optional but appreciated). Refund requests are processed within 5 business days of receipt. Approved refunds are issued to the original payment method and may take an additional 5–10 business days to appear depending on your bank or card issuer.

Post-Refund Access:

Upon approval and processing of your refund, your Premium Plan access will be downgraded to the Free Plan. You may continue to use the Free Plan with standard limitations.

Good Faith Use:

The Money-Back Guarantee is offered in good faith to give new users the confidence to fully explore the Premium Plan. Users who exploit the guarantee — for example, by extracting large volumes of data, reports, or API outputs prior to requesting a refund — may be denied the refund at Intelxo’s sole discretion and may have their account suspended. We monitor for abusive patterns.

8. CANCELLATION & TERMINATION

8.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period. You will retain access to Premium features until the end of the paid period. Cancellation does not entitle you to a refund of any fees already paid, except as provided under the 30-Day Money-Back Guarantee in Section 7.

8.2 Termination by Intelxo

Intelxo reserves the right to suspend or terminate your account, with or without notice, if:

You materially breach any provision of these Terms and fail to remedy the breach within 7 days of notice
You engage in any prohibited conduct described in Section 4
Your payment fails and is not remedied within 7 days
We are required to do so by law or a regulatory authority
We determine that your continued use poses a security or legal risk to the platform or other users

In the event of termination for breach, no refund will be issued. In the event of termination by Intelxo for convenience (where you are not at fault), we will provide a pro-rated refund of any prepaid fees for the unused portion of your subscription.

8.3 Effect of Termination

Upon termination, your license to use the Services immediately ceases. You must stop using the platform, and any API keys associated with your account will be deactivated. You may request a data export of your personal data within 30 days of account closure, after which your data will be deleted in accordance with our Privacy Policy.

9. DISCLAIMERS & NO INVESTMENT ADVICE

9.1 Informational Purpose Only

All Content and AI-Generated Insights provided through the Services are for informational and educational purposes only. Nothing on the Intelxo platform constitutes, and nothing should be construed as:

Personalized investment advice or a recommendation to buy, sell, or hold any security
A solicitation or offer to buy or sell any financial instrument
Legal, tax, accounting, or financial planning advice
A guarantee of investment returns or future performance

9.2 AI Limitations

AI-Generated Insights are produced by machine learning models that analyze patterns in historical and real-time public data. These models may produce inaccurate, incomplete, or misleading outputs. Past patterns identified by AI do not guarantee future market behavior. You acknowledge that AI-generated signals may be wrong, and that financial markets are inherently unpredictable.

9.3 Your Responsibility

You are solely responsible for your own investment decisions. Before acting on any information or insight from the platform, you should conduct your own independent research and, where appropriate, consult a qualified and licensed financial adviser, accountant, or legal professional. Intelxo does not know your personal financial situation, investment objectives, risk tolerance, or tax circumstances.

9.4 No Warranty

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, OR NON-INFRINGEMENT. INTELXO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTELXO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, LICENSORS, AND DATA PROVIDERS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, punitive, or exemplary damages
Any loss of profits, revenue, data, goodwill, or investment returns
Any financial losses arising from investment decisions made in reliance on AI-Generated Insights or any Content on the platform
Any damages resulting from unauthorized access to or alteration of your account or data
Any damages resulting from service interruptions, data delays, or platform errors

IN NO EVENT SHALL INTELXO’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO INTELXO IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Intelxo, Inc. and its officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or in connection with:

Your use of or reliance on the Services or any AI-Generated Insights
Your breach of any provision of these Terms
Your violation of any applicable law or regulation, including securities laws
Any investment decision made by you or a third party based on information accessed through your account
Any content you submit to the platform that infringes the rights of a third party

12. GOVERNING LAW & DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. If you are a consumer located in the European Union or United Kingdom, you also benefit from the mandatory consumer protection provisions of the law of your country of residence.

12.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at [email protected] and attempt to resolve any dispute informally for a period of at least 30 days.

12.3 Arbitration

For users located in the United States, any dispute that cannot be resolved informally shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.4 EU & UK Users

If you are a consumer located in the European Union, you may also submit disputes to your local courts or use the EU Online Dispute Resolution platform available at ec.europa.eu/odr. UK consumers may refer disputes to the relevant UK alternative dispute resolution body.

12.5 Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States.

13. PRIVACY

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy regarding the handling of personal data, the Privacy Policy shall govern.

14. COMMUNICATIONS & NOTIFICATIONS

By creating an account, you consent to receive transactional communications from Intelxo, including account confirmations, billing receipts, security alerts, and service updates. These communications are necessary for the operation of your account and cannot be opted out of while your account remains active.

You may opt out of marketing and promotional communications at any time by clicking the “unsubscribe” link in any marketing email or by updating your notification preferences in account settings. Opting out of marketing communications will not affect transactional communications.

All legal notices to Intelxo must be sent to [email protected] or by certified mail to our registered business address.

15. MODIFICATIONS TO THESE TERMS

Intelxo may update these Terms at any time. For material changes — including changes that affect your rights, payment obligations, or core service terms — we will provide at least 30 days’ advance notice via email and in-platform notification.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance. If you do not agree to updated Terms, you must stop using the Services and cancel your subscription before the effective date. You will not be entitled to a refund solely on the basis of a Terms update unless the update materially reduces the core features of a paid plan you are actively subscribed to.

16. GENERAL PROVISIONS

Entire Agreement — These Terms, together with the Privacy Policy and any plan-specific agreements or order forms, constitute the entire agreement between you and Intelxo regarding the Services and supersede all prior agreements and understandings.

Severability — If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver — Intelxo’s failure to enforce any right or provision of these Terms on any occasion does not constitute a waiver of that right or provision.

Assignment — You may not assign or transfer your rights or obligations under these Terms without Intelxo’s prior written consent. Intelxo may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.

Force Majeure — Intelxo shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, government actions, internet or infrastructure failures, cyberattacks, or market data provider outages.

No Third-Party Beneficiaries — These Terms do not create any third-party beneficiary rights.

Language — These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall govern.
